These terms of service comprise the terms and conditions set forth below and any additional terms on the Site (together “Terms of Service”) and govern your use of the services provided by Rebtel Services S.à r.l. (“Rebtel” or “we”) to you under the brands of Rebtel and Sendly.
Acceptance of Terms
You agree to be bound by the Terms of Service if you: (i) access the website www.rebtel.com or www.sendly.com and such other sites that are operated by Rebtel from time to time (the “Site”); (ii) download a Rebtel application to your mobile device (an "App"); or (iii) use Rebtel’s services, as further described below (the “Services”).
Rebtel may without notice renew, modify or amend the Terms of Service from time to time. If you continue to use the Services you accept such revisions.
If you are residing in a jurisdiction where it is prohibited by law to offer or use Internet telephony or the Services, you may not use the Services in such jurisdiction.
You acknowledge that the use of the Services is dependent upon services of third parties, including but not limited to international carriers, local termination partners and your local telecom and mobile operator ("Provider"). You acknowledge and understand that the Services provided by us are not a traditional mobile or fixed line telephone service or a replacement for your primary telephone service. Note that some Providers prohibit or restrict the use of Voice over Internet Protocol (“VoIP”) functionality or other features of the Services, and may also impose additional fees in connection with the use of the Services. You are solely responsible for verifying with your mobile operator (or any other Provider that you are using in relation to the Services) that the use of the Services is permitted in accordance with any contractual obligations you may have with that Provider, and also to check and pay for such imposed additional fees. Note that,as soon as your call is connected to a phone number provided by Rebtel, the call may be charged by your Provider, regardless of whether you are connected to the receiver of the call (i.e. even if the line is busy).
The Services consist of the VoIP Services and the Mobile Top Up Services (as defined below).
Use of the Services
You may only use the Services subject to your compliance with these Terms of Service.
Usernames and PIN
In order to use the Services, you are required to register as a user with Rebtel. You agree to provide true, accurate, current and complete information in all fields indicated as mandatory when registering for the Services, as well as any additional information provided or any amendments made by you. Subject to such registration you will receive access to your Rebtel account (the "Account"). Not limiting the aforesaid, Rebtel may in certain geographical locations offer you, if you have a US phone number (prefix+1), to have an authorized Rebtel Recharge Agent registering the Account on your behalf.
Unauthorized Use/Stolen Device
As part of signing up on the Site you will choose a PIN code (“PIN”) required for access to and use of the Services. You are responsible for all actions that take place as a result of access to or use of the Services via your PIN and/or via your mobile phone (“Device”) independently of whether the access was made by yourself or by a third party using your PIN and/or Device.
If your Device is stolen or if you become aware of unauthorized use of the Services you must notify us immediately to suspend the Services and block your Account. You are responsible for all charges to your Account until the Services are suspended. We have the right to change your PIN and account name at any time in our sole discretion and without notice.
No Unlawful or Prohibited Use
You expressly acknowledge and agree to use the Services solely for lawful purposes. In this respect you may not, without limitation (a) intercept or monitor, damage or modify any communication which is not intended for you, (b) send any unsolicited commercial communication, (c) use the Services in any fraudulent way, (d) submit or post to the Site or expose any third party to material which infringe any third party’s intellectual property rights or violate the rights of any third party, is offensive, defamatory, racist, pornographic, illegal, harmful to minors, indecent or otherwise, in Rebtel’s sole discretion, is objectionable. Furthermore, you may not submit or publish any material that solicit funds or services, contain advertising or include programs that contain viruses or any other programs designed to impair the functionality of any computer and you may not use the Services in any manner that could damage, disable, overburden, or impair any Rebtel server, or the network(s) connected to any Rebtel server, or interfere with any other party's use and enjoyment of the Services.
Submission of information to Rebtel
Disclosure of information
Rebtel reserves the right at all times to disclose any information as Rebtel deems necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove or restrict any information or materials, in whole or in part, in Rebtel's sole discretion
Rebtel shall endeavor to provide the Services with minimum disruptions. However, Rebtel does not make any express warranty regarding the Services and disclaims any implied warranty, including any warranty of merchantability, satisfactory quality, or fitness for a particular purpose. Rebtel cannot guarantee that the Services will always function without disruptions, delay or other imperfections and Rebtel may choose not to provide service to countries or calling areas at its sole discretion.
Since the Services will be transmitted e.g. through public Internet lines and the public switched telephone network, you acknowledge that there may be power outages or Internet service disruption and you may experience some disruptions in the Services, e.g. packet loss and delay.
Additionally, you also understand that Rebtel cannot guarantee that information or communications sent using the Services are not encrypted and could be potentially subject to interception by law enforcement officials or other third parties over the public Internet. Rebtel will not be liable for any disruption, delays, interception or other omissions in the Services.
Suspension and Interruption of your Rebtel Account and the Services
Any fraudulent use of the Services, or any use for any illegal, improper or unethical purpose is strictly prohibited. Should Rebtel find or have reasons to believe that you are liable for any such use, Rebtel has the right to cancel your Rebtel Account immediately, without prior notice to you, and without any obligation to compensate you for any loss you may suffer due to such cancellation. In addition, Rebtel may prevent, at any time, in its sole discretion and without prior notice to you, any and all use of the Services for any reason whatsoever, including but not limited to, fraudulent patterns in the use of the Service, excessive usage, unlawful use, or any other misuse. Within such prevention, Rebtel has the right to suspend your Rebtel Account should Rebtel have any reason to suspect that you misuse the Services. You are fully responsible towards Rebtel for all (including any fraudulent) use of the Services which is or can be connected to your Rebtel Account.
In relation to the Rebtel’s unlimited deals the following should be noted in particular. These deals offer unlimited outbound international calling services as set forth herein and on the Site (note that third party fees may apply, see Section “Third Party” above). You acknowledge and agree that the Rebtel’s unlimited deals are intended only for normal, single-person and non-commercial use. Unauthorized or excessive use beyond that normally experienced by typical customers on the same plan may cause us to immediately cancel your Rebtel Account. Unusual calling patterns, excessive conferencing or call forwarding, auto-dialing or fax/voice blasts, excessive numbers dialed, use without live dialogue and/or consistent excessive usage will be considered indicators of such unauthorized or excessive use.
Furthermore, Rebtel has the right, without any liability, to refuse, restrict, limit, suspend and/or interfere or interrupt the Services or any part thereof, without any prior notice to you, for the repair, improvement, and/or upgrade of such service or for any of the reasons for termination set forth in these terms, or any other business reason.
The content of the communications made using the Services are entirely determined by the person from whom such content originates. You therefore may be exposed to content that is offensive, harmful, indecent or otherwise objectionable. Rebtel will not be liable for any type of communication spread by means of the Services.
Intellectual property rights
All copyright, trademarks, patents and other intellectual property rights in any material or content (including without limitation software, data, applications, information, text, photographs, music, sound, videos, graphics, logos, symbols, artwork and other material or moving images) used in the provision of the Services or is either owned by Rebtel or has been licensed to Rebtel by the rights owner(s) for use as part of the Services. Nothing in these Terms of Service shall grant you any intellectual property rights in the Services or in respect of any content or communication delivered using the Services.
Furthermore, Rebtel has the right to remove any materials posted to the Site in its sole discretion.
Rebtel provides you with the possibility to use international calling services, SMS services and other electronic communication services as provided by Rebtel from time to time (the "VoIP Services"), on the terms and conditions set forth in the Terms of Service. The calling services are available from smartphone, landline or feature phone. By use of the VoIP Services you may make international calls by creating virtual local landline numbers in the country of origin and the destination and routing the international part of the call over the internet.
No emergency calls
The VoIP Services do not and are not intended to support or carry emergency calls to any type of hospitals, law enforcement agencies, medical care unit or any type of emergency services of any kind and Rebtel is not liable in any manner for such calls. In the event that, with your permission, another user uses your Account, you are responsible to inform that user that it is not possible to support or carry emergency calls with the VoIP Services.
No SMS, MMS or FAX messages
The phone numbers provided by Rebtel do not and are not intended to support messaging via SMS, MMS nor FAX except as expressly stated on the Site.
Phone numbers provided by Rebtel
Rebtel may, as part of the technical setup of the Services, pair you with one or more phone numbers. These phone numbers are shared by multiple Rebtel users. You expressly acknowledge and agree that this pairing of phone numbers with you shall not constitute a transfer of property or sale of numbering rights by Rebtel to you. As a result, you will not be entitled to claim any such rights to these phone numbers. This means, without limitation, that you may not port-out any such phone number to any third party.
MOBILE TOP UP SERVICES
Rebtel provides you with the possibility to transfer pre-paid airtime value to a pre-paid mobile phone subscription account by use of your Rebtel Account accessed through the App ("Mobile Top Up"), on the terms and conditions set forth in these Terms of Service.
By accessing the App, you will be able to purchase Mobile Top Up for transfer, in such denominations and amounts as are displayed in the user interface (from time to time), for transfer to end users with those mobile network operators and within such countries as are displayed (from time to time) in the App. There may also be maximum thresholds for the aggregate value that you may transfer at any given point in time. All values available for Mobile Top Up are stated VAT inclusive (if applicable) and inclusive of Rebtel's service charges.
The value that you purchase for Mobile Top Up will be debited the credit card that you have connected to your Rebtel Account. You are responsible for all transactions performed by use of your Rebtel Account. By completing the Mobile Top Up as set forth in the App, you authorize us to transfer the value as ordered by you, to the mobile telephone number (the "MSISDN") that you have identified. Rebtel will upon receipt of your order for Mobile Top Up make a reservation corresponding to the cost of the value and the transfer service to your credit card, and will upon successful completion of the Mobile Top Up, debit such cost to your credit card. Funds received by Rebtel for Mobile Top Up do not constitute funds held on account for the user. Rebtel will commingle the funds with its own funds.
Once the Mobile Top Up has been successfully completed, which will be notified to you, the value transferred cannot be refunded or removed from the receiving MSISDN. Please note that Rebtel does not assume any liability should you send Mobile Top Up to the wrong MSISDN.
Should a Mobile Top Up transaction not be successfully completed, Rebtel will notify you. A transaction can either (i) fail, meaning that the reservation of the charges to your credit card will be released, or (ii) be pending, meaning that the transaction is in progress (which may continue up to 24 hours) during which time the charge will remain reserved against your credit card, but not yet been debited (and no Mobile Top Up value will reach the receiver MSISDN).
Should it come to your knowledge that a Mobile Top Up initiated by you, the cost for which has been charged to your credit card, has not reached the MSISDN identified by you, you shall notify Rebtel within reasonable time and provide Rebtel with underlying documentation evidencing the cost which was debited your credit card, and identifying the MSISDN to which your ordered the Mobile Top Up. Rebtel reserves the right to charge you any costs which Rebtel may have for crediting value to your credit card, if Mobile Top Up has not been successfully completed and such failure has been caused by you.
PAYMENT, RATES AND ACCOUNTS
In order to purchase credits for the VoIP Services, airtime value for transfer by use of the Mobile Top Up Services or to charge your Account you shall pay Rebtel the rates as stated on the Site, or the App as applicable depending on the type of Services that you use, by use of such payment methods as set forth on the Site or in the App, e.g. by connecting a credit card to your Account. Payments are either made manually by you or through the automatic recharge function activated by you. The automatic recharge function means that when your Account balance is below a certain level, your Account will be automatically recharged with a certain pre-selected amount.
In addition to the payment methods described above, Rebtel may in certain geographical locations offer you, if you have an Account associated with a US phone number (prefix +1), to purchase credits for the VoIP Services from Rebtel by making the payment to an authorized Rebtel Recharge Agent. When making a recharge through a Rebtel Recharge Agent we will send an SMS to the phone number pertaining to the Account subject to the recharge to confirm that your recharge has been successfully processed. It is your responsibility to always ask for a receipt of your payment to the Rebtel Recharge Agent, and furthermore, if an SMS is not received with the information that the Account has been recharged with the correct amount or you are not able to confirm this by checking the balance on the Account within one (1) minute from when your payment was made, you should immediately ask the Rebtel Recharge Agent for a repayment. You acknowledge and accept that Rebtel will not be able to help you with any issues concerning payments through a Rebtel Recharge Agent if you are not able to provide us with the receipt of the payment made to the Rebtel Recharge Agent. Note that Rebtel is still the party offering the Services. If you have any questions or complaints relating to the Services, please contact Rebtel directly. Any purchases of credits for the VoIP Services from Rebtel by making the payment to a Rebtel Recharge Agent requires payment by you of the purchase fee plus any applicable taxes and charges. Rebtel and the Rebtel Recharge Agents are not responsible for any error due to incorrect information supplied by you.
Rebtel has the right to charge you for the use of the Mobile Top Up Service. Such service fee will not be communicated to you as a separate item, but will be included in the amount that will be debited your credit card as set forth in these Terms of Service.
Rates and VAT
The rates for the VoIP Services are published on the Site. Rebtel reserves the right to change the rates at any time without notice. If you do not wish to accept such adjustment of rates, you are entitled to terminate the Account with effect from the date on which the adjustment of rates would become effective. You agree that by continuing to use the VoIP Services, following the adjustments of the rates, you accept such adjustments.
Unless stated otherwise, all rates and charges for the VoIP Services shall be stated in US dollars (USD), Pound Sterling (GBP) or Euro (EUR) and shall be exclusive of value added taxes (VAT) or any other applicable taxes or fees.
Rebtel calls are charged per minute and rounded up to the next minute. For e.g., if you call for 7 minutes and 10 seconds we will round up your call to 8 minutes.
You will also pay any additional charges you incur if you connect to the Services through a phone number provided by Rebtel while you are in a country that is not the country associated with your fixed net or mobile phone Provider (“Roaming Charges”). Roaming Charges are charged in addition to any charges you may incur when connecting to the Services from another country.
You may request for a refund by submitting a written request in English to Rebtel’s customer services at firstname.lastname@example.org. Refund requests carried out through other means shall not be eligible for the refund. For the avoidance of doubt, no refunds shall be given for services paid or credit acquired through vouchers, gift tokens or similar. Rebtel reserves the right to deny repetitive refund requests. Any abuse by you of the terms relating to refunds hereunder shall lead to the termination of this Agreement. All payments older than 90 days are non-refundable. In exceptional cases we can refund calls that failed to connect back to your Rebtel account, whose duration does not exceed 30 seconds and which are not older than 30 days. You can send your request to email@example.com so that our agents evaluate your case.
Account and receipt
Rebtel may provide an account history on the Site that includes information about your Account activity, payments, calling history during a limited period, and your current Account balance (“Account History”), which may change from time to time, and an e-mail receipt upon pre-payment for the Services. The Account History is the only statement of your Account that Rebtel will provide to you. IT IS YOUR RESPONSIBILITY TO PRINT OR SAVE A COPY OF YOUR CALL SHEET AND YOUR RECEIPT AND TO RETAIN COPIES FOR YOUR RECORDS. Rebtel will use commercially reasonable efforts to correct any technical failures relating to the Account History within a reasonable time. However, your inability to view the Account History does not extend, or relieve you of, your obligation to pay any amounts owing to Rebtel.
If you believe that Rebtel has charged your Account in error, you must submit a written request in English for refund by contacting Rebtel’s customer services via firstname.lastname@example.org within 90 days after the date the error first appears on your Account History or within 120 days after the error occurred, whichever is earlier.
Expiration of credits
A credit balance for the Services on the Account expires 12 months after the last activity of the Services. Credit balances that are not used within the said 12 months day period will be lost.
TERMINATION AND CANCELLATION
If you breach any of the Terms of Service, or if you are subject to any proceeding under bankruptcy, insolvency, liquidation or similar laws, you will be in default and we may, without notice to you, suspend the Services and/or terminate the Terms of Service.
Cancellation of your Services
You may terminate the Terms of Service and cancel the Services at any time. Unless otherwise stated herein, all Services will be cancelled from the Site or within 5 days of receipt of written notice from you to email@example.com.
Limitation of Liability
Rebtel is not liable for acts or omissions of any Provider, for information provided through your Device, equipment failure or modification, or causes beyond our reasonable control. We are not liable for service outages or for service limitations or interruptions. We are not liable for any accidents or incidents which result from the use of the Services by you or any other person. Our liability and the liability of any underlying Provider for any failure or mistake shall in no event exceed the VoIP Services' charges or the aggregate value for Mobile Top Up purchased by you (based on which Service has caused the loss or damage) during the affected period. We and any underlying Provider are not liable for any loss of data, loss of profit, loss of goodwill or loss or damage which is indirect, incidental, punitive or consequential. We, and any underlying Provider, are not liable for economic loss or injuries to persons or property arising from the use of the Services. This paragraph shall survive termination of the Terms of Service.
We may assign all or part of our agreement pursuant to these Terms of Service without your consent or notice. You may not assign our agreement without our prior written approval.
You agree to indemnify and hold Rebtel and its subsidiaries, affiliates, officers, agents or other partners, and employees, harmless from any claim or demand, including without limitation attorneys' fees, made by any third party due to or arising out of your (a) use of the Site or the Services including without limitation posting and submitting of any material, (b) connection to the Site or the Services (c) violation of the Terms of Service, or (d) violation of any rights of another person or entity.;
Rebtel has a license to U.S. Patent No. 7,346,156.
Applicable law and competent court
The Terms of Service shall be governed by and construed in accordance with the laws of Luxembourg without giving effect to the conflict of laws or provisions of Luxembourg or your actual state or country of residence. Any dispute, controversy or claim arising out of or in relation to the Terms of Service, your relationship with Rebtel including any non-contractual obligations, will be exclusively subject to the jurisdiction of the courts of the district of Luxembourg.
These Terms of Service represent the entire agreement between you and us and supersedes all prior offers, contracts, agreements and representations. The Terms of Service supersede all promises made to you by our client services agents, representatives or employees. If any part of the Terms of Service is found invalid, the balance remains enforceable.
IMPORTANT — PLEASE READ CAREFULLY
By accessing and/or using our Services you consent to us collecting, processing, storing and sharing information about you in the manners set out in this Policy. If you have any concerns about providing the information to us or having it used in any manner permitted in this Policy you should not use our Services.
By downloading the App and/or using the Services you acknowledge you are of legal age.
1. What information about you is collected and how will we use it?
When downloading the App or otherwise start using the Services you are requested to register with us, and creating your Rebtel account. By registering you give your consent for us to collect, use and store the following information:
In addition to using this information to be able to provide you with the Services that you request, we use, store and/or may disclose the above listed information as follows:
To verify your identity (your phone number will be used as Rebtel user ID).
To manage your Rebtel account, deliver to you any administrative notices, updates, notifications, alerts and communications relevant to your use of the Service.
To solicit information from you, including through surveys.
To contact you via email, SMS or otherwise for the purpose of informing you about new products, services or promotions offered by Rebtel (you can opt-out of such emails by clicking on the unsubscribe link, withhold your consent to receive an SMS or reply stop to an SMS in order not to receive future SMSs).
If you live in the European Union, for the purpose of providing correct VAT invoices (we are required to do so by law).
For internal operations, including troubleshooting problems, data analysis, testing, research, improvements to the Services, detecting and protecting against error, fraud or other illegal activity.
When we believe it is appropriate to investigate, prevent, or take action regarding illegal or suspected illegal activities.
When you first install the App on your device, you will be asked to allow us access to your address book. If you consent, we will have access to contact information in your address book on the devices you use for the Services (only names and numbers) and we will store it and use it for the following purposes:
Correctly formatting the phone numbers for international calling.
Correctly display the name of each contact as it appears in your address book when a call is received through the App.
Sync your contacts in the address book on your device with the App.
Notify you when your contacts become a Rebtel user.
Indicate which of your contacts is already a Rebtel user.
The information from your address book will be stored for a period of up to twelve month from the last time you used the Services.
In accordance with telecommunications market practice, Rebtel collects certain usage statistics, including but not limited to, the phone numbers and/or other identification details of the calling and receiving party, the start time, call duration, call quality, outages (“Call Details”) and maintains a call detail record (“CDR”) for each call that is routed through the system. The Call Details are collected and the CDR maintained for billing purposes and for the purposes of improving the Services and to fulfill our obligations under applicable laws.
We may collect and store information about your usage of, and interaction with, the Services, including calls, messages, posts, information relating thereto, usage of the Service by geographies, device and connection information IP address, device capability, bandwidth, web browser software, referring website, statistics on page views, network type and traffic to and from our Site. We are collecting this information for the purpose of:
Improving our Services, for example by helping us fix bugs or by providing Services updates.
Preventing cheating, crime or fraud (we may also need to pass your information to fraud prevention agencies and other organisations involved in crime and fraud prevention).
To personalise and optimise our Services, promotional content and advertising to you. For example, we may use the information we collect through cookies, ad identifiers and similar technologies to show you ads you may be interested in.
To create reports, analysis or similar services for use by us for the purposes of research or business intelligence, for example to track potential problems or trends with our Services.
As otherwise expressly set out in this Policy or as required by law.
In addition, we may interact with your phone's SMS inbox for the purposes of service activation, placing incoming international messages and reading the contents of the activation SMS sent to you by us.
2. Sharing Information
We will only share your data with third parties (for example, our group companies or suppliers):
With your consent (including as set out in this Policy).
As reasonably necessary in order to provide the Services to you (for example, by providing information to suppliers we may use to fulfil the Services or to communicate with you).
Where it is necessary to carry out your instructions (for example, to process a payment instruction we must provide your information to our payment processors).
Where your data is on an anonymous and aggregated basis, meaning you could not be personally identified from it.
When you submit information by interacting with our social media channels (for example, by providing a testimonial about one of our Services) we may publish the information you submitted, alongside your name and home country on the Site and social media channels.
As we reasonably believe is permitted by law or regulation.
In order to comply with any legal obligation, or in order to enforce or apply the Rebtel Terms of Service and/or any other agreement with you; or to protect the rights, property, or safety of Rebtel, our users, or others.
In the event that there is a sale of the assets of Rebtel or corporate restructuring, or as a result of a change of control of Rebtel or one of its group companies, or in preparation of any of these events. Any third party to which the assets or Rebtel (or any group company) is transferred to will have the right to continue to use the information that you provide to us in the manner set out in this Policy.
In addition, we may use external advertising companies to serve ads when you have visited the Site. These companies may use information (but not information that includes your name, address, email address or telephone number) about your visits to the Site and other websites in order to provide advertisements about goods and services of interest to you. Your details may be stored and processed in Luxembourg, Sweden or any other country in which Rebtel or its affiliates, subsidiaries or agents maintain facilities. By using the Services, you consent to any such transfer of the information outside your country.
3. Communications, notifications etc.
We may send you messages about updates, faults, alerts and other types of issues relating to technical aspects and/or the usability of the App and other parts of the Services.
We may occasionally ask you to provide information on your experiences of using the App or other parts of the Services which will be used to improve the quality and provision of the Services. You are under no obligations to provide any such information. Any and all information which is voluntarily submitted by you in relation to any survey that you take part in is used for the purposes of reviewing this feedback and improving the Services.
Rebtel may from time to time contact you by phone, SMS or through any other appropriate information channel to keep you up to date with news about Rebtel and the Services, including new products, campaigns and promotions.
You can stop the delivery of promotional messages from Rebtel by following the specific instructions in promotional messages or by our customer support at firstname.lastname@example.org. These communication choices do not apply to mandatory service communications that are considered part of the Services, which you may receive periodically unless you delete the App.
Short Code Terms of Service for US Customers
In addition to the provisions on communications, notifications etc. in the section above, the following shall apply in relation to SMS messages between RebTel and customers residing in the USA. SMS from RebTel will be sent from the short code number 29436. You can cancel these SMS messages at any time by textingSTOP to the RebTel short code 29436. You will not receive any additional messages. If you want to join again, just let us know by sending us an email to email@example.com and we will start sending SMS messages to you again. Should you need help in relation to these SMS messages, text HELP to the RebTel short code 29436. You may also request our help by sending an email to firstname.lastname@example.org. As always message and data rates may apply for any messages sent to you from RebTel and from RebTel to you. You will not receive more than 4 SMS per year from RebTel.
US mobile carriers supported: AT&T, U.S. Cellular, MetroPCS, Sprint, Virgin Mobile, Cricket, Carolina West, Cellcom, C Spire, Cincinnati Bell, Verizon Wireless, Boost and T-Mobile®. T-Mobile is not liable for delayed or undelivered messages.
Protecting user privacy and personally identifiable information is a top priority for RebTel. We make substantial efforts to ensure the privacy of all personally identifiable information collected by us in relation to the provision of the Services to our customers. Although we cannot guarantee that the information will not be subject to unauthorized access, loss or misuse we have physical, electronic, and procedural safeguards in place to protect the information.
5. Changes to the Policy
